These Terms of Service govern your access to and use of the Ospery platform, including the Ospery mobile applications, website, partner program, and related services.
By accessing or using the platform, you agree to be bound by these terms. Last updated: 14/03/2026.
1. About Ospery
Ospery is a commerce platform operated by Styps Ltd, a company registered in England and Wales. Ospery is a product and trading name of Styps Ltd and is not a separate legal entity.
The platform enables buyers, sellers, and approved partners to participate in QR-native commerce, discovery, messaging, order tracking, refund workflows, subscriptions, and AI-enabled services.
Ospery is not a bank or licensed payment processor. Payments and payouts are handled through third-party licensed payment providers.
2. Eligibility
To use Ospery you must be legally capable of entering into a binding agreement, comply with applicable laws in your jurisdiction, and provide accurate information when creating an account or applying to become a partner.
3. Accounts
Some Ospery features require an account. You are responsible for keeping your login credentials secure, maintaining accurate profile information, and notifying Ospery if you suspect unauthorized access or account misuse.
4. Buyer and seller roles
Buyers may discover businesses, scan QR codes, initiate payments, message sellers, request refunds, and leave ratings and reviews. Sellers may create listings, generate QR payment flows, manage orders, communicate with buyers, and respond to refund requests.
Sellers remain responsible for listing accuracy, lawful trading, delivery, and fulfillment.
Ospery may use reputation systems, verification mechanisms, and transaction monitoring to maintain platform integrity, reduce fraud, and improve trust between users.
5. Payments and platform commission
Payments are processed through third-party payment providers, including pawaPay for supported African payment flows and Stripe for global card and digital wallet flows.
Buyer → Payment Provider → Provider-managed platform account → Seller payout via disbursement.
All funds are managed within licensed payment provider systems. Ospery does not independently custody funds and does not operate as a bank or payment processor.
Ospery records transaction data, allocates seller balances, applies platform commissions, and facilitates payouts to sellers through payment provider disbursement systems.
A transaction protection period may apply before funds become eligible for payout to support refunds, disputes, and platform integrity.
Ospery does not provide financial services and does not offer stored value accounts.
6. Partner program overview
Ospery operates a territory-based partner program for trusted regional operators. The partner program is not an open affiliate scheme. Partners are expected to grow the Ospery ecosystem within an assigned country by onboarding businesses, supporting adoption, and representing the platform responsibly.
Approved partners earn 40% of Ospery revenue generated within their assigned territory from subscriptions, AI credit packs, and qualifying transaction commissions.
7. Partner expectations and responsibilities
Partners must maintain a real local presence, use lawful and accurate promotion methods, support seller onboarding in good faith, avoid spam or deceptive marketing, and comply with Ospery brand, privacy, and data-handling requirements.
Partners may not hold themselves out as Ospery employees, agents with authority to bind Ospery, payment processors, or financial intermediaries.
8. Territory allocation and country limits
Partner earnings are territory-based. Partners earn only from the country that Ospery assigns to them, and territories are manually approved by Ospery.
Ospery generally allocates a maximum of 2 to 3 partners per country. Country limits may vary by market, operating needs, or platform strategy.
9. Partner application review, approval, and decline
Partner applications are manually reviewed. Ospery may approve, decline, or defer an application after reviewing the applicant's operating country, business or organization name, years in operation, promotion strategy, proof of local presence, duplicate submissions, and territory capacity.
Submission of an application does not guarantee approval, territory allocation, referral issuance, or any minimum revenue opportunity.
10. Referral attribution and eligible revenue
Partner revenue share depends on valid attribution within the assigned territory and on Ospery actually receiving the relevant platform revenue. Ospery may refuse attribution where signups, transactions, or revenue events are fraudulent, duplicated, disputed, outside the assigned country, or otherwise ineligible.
11. Refunds, reversals, and partner commission adjustments
Buyers may submit refund requests through the platform. Refunds are processed through the original payment provider, with seller approval where applicable. Ospery does not issue refunds directly.
If a refund, chargeback, reversal, failed collection, or commission adjustment reduces or removes Ospery revenue, the corresponding partner share may be reversed, withheld, or offset against current or future partner payouts.
12. Messaging and communication
Ospery provides messaging tools for buyers and sellers. Users and partners must not use platform communication channels to harass others, send spam, distribute scams, or circulate illegal or harmful material.
13. Acceptable use
You agree not to use Ospery to facilitate illegal goods or services, conduct fraud, impersonate another person or business, manipulate ratings, abuse refund systems, misuse referral attribution, or exploit platform vulnerabilities.
14. AI features
Ospery provides optional AI-powered tools. AI outputs are provided for assistance and workflow support only and do not constitute legal, financial, compliance, tax, or professional advice.
15. Platform availability
Ospery aims to provide reliable service but does not guarantee uninterrupted access. Features may be unavailable because of maintenance, provider outages, fraud investigations, infrastructure incidents, or third-party service failures.
16. Intellectual property
The Ospery platform, software, trademarks, documentation, and design assets are owned by the platform operator or its licensors. You may not copy, modify, distribute, or reverse engineer the platform except where permitted by law or with Ospery's prior written permission.
17. Data and privacy
Your use of Ospery is also governed by the Ospery Privacy Policy. Partners must handle lead, customer, and referral information lawfully, securely, and only for approved Ospery-related purposes.
18. Limitation of liability
To the maximum extent permitted by law, Ospery is not liable for disputes between buyers and sellers, product quality issues, delivery failures, payment provider failures, partner business results, indirect damages, or consequential losses.
19. Suspension, termination, and territory removal
Ospery may suspend or terminate accounts, partner status, referral attribution, or territory access where it reasonably believes a user or partner has violated these terms, engaged in fraud, created platform risk, or failed to meet program requirements.
20. Changes to these terms
Ospery may update these terms periodically. Continued use of the platform after an update becomes effective constitutes acceptance of the revised terms.
21. Governing law
These terms are governed by the laws of England and Wales. Disputes may be resolved in the courts of England and Wales unless another forum is required by applicable law.
