Terms.
This Seller Agreement governs the relationship between the platform and individuals or businesses that use the Ospery platform to sell products or services.
By creating a seller account on the Ospery platform, you agree to these terms. Last updated: 14/03/2026.
1. Platform operator
Ospery is a technology platform that enables businesses to connect with customers, accept payments, and receive payouts through licensed third-party payment providers.
2. Nature of the platform
The platform provides product and service listings, QR-based commerce tools, buyer messaging, order notifications, receipt generation, refund request workflows, and AI business assistance.
Ospery does not operate as a bank or licensed payment processor and does not sell or deliver products or services listed by sellers.
3. Seller responsibilities
Sellers are responsible for the accuracy of product and service listings, pricing, product descriptions, delivery or fulfillment of products, service quality, and compliance with applicable laws.
4. Payment processing
Payments are processed through licensed third-party providers including pawaPay and Stripe. Depending on the transaction flow, funds may be collected within the payment provider environment and allocated to sellers through platform-managed payout processes.
Seller earnings are recorded within the platform and become eligible for payout after a defined protection period. Payouts are executed through payment provider systems to the seller’s registered account or mobile money wallet.
Ospery does not operate financial accounts, issue wallets, or independently custody funds.
4A. Seller balances and payouts
Seller balances are tracked within the platform for transaction and payout purposes. Funds from completed transactions remain in a protected state during the refund window before becoming eligible for payout.
Once the protection period has passed, eligible balances are paid out to the seller through the payment provider linked to their account.
5. Seller fees and commissions
Ospery may charge platform fees for subscriptions, platform service fees, advertising services, and AI service credits. Where applicable, Ospery records commissions through its platform ledger.
6. Refunds
Buyers may submit refund requests through the platform within the defined refund window. Sellers review the request and may approve or decline it. If approved, the refund is processed through the original payment provider using the original payment method. Approved refunds during the protection period prevent the transaction from being paid out to the seller.
7. Prohibited activities
Sellers may not list illegal goods or services, counterfeit or infringing products, stolen goods, unlawful weapons, illegal drugs, or fraudulent services.
8. Seller communication
Sellers must not use messaging to harass buyers, send spam, conduct scams, or distribute malicious content.
9. Seller verification
Verification may include identity information, business information, and payment account details. Failure to provide required verification may result in restricted platform access.
10. Product and service delivery
Sellers are solely responsible for fulfilling orders, delivering physical products, providing services as described, and resolving delivery issues.
11. Ratings and reviews
Sellers may not manipulate ratings, post fake reviews, or pressure buyers to leave positive reviews.
12. Account suspension
Ospery may suspend or terminate seller accounts for fraud, abuse, repeated complaints, or security concerns.
13. Limitation of liability
Ospery is not liable for product quality issues, delivery disputes, service performance, payment provider failures, or disputes between buyers and sellers.
14. Intellectual property
Sellers retain ownership of their product images, branding, and content, but grant Ospery a license to display this content within the platform.
15. Changes to this agreement
Ospery may update this seller agreement from time to time. Continued use indicates acceptance.
16. Governing law
This agreement is governed by the laws of England and Wales.
